Terms & Conditions.

The conditions that govern orders and services of PT ICED PACKS PACKAGING (IcedPacks) — for customers in Indonesia and worldwide.

1. Operator and Legal Identity

icedpacks.com is operated by PT ICED PACKS PACKAGING ("IcedPacks", "we"), a limited liability company (Perseroan Terbatas) incorporated under the laws of the Republic of Indonesia, Business Identification Number (NIB) 3006260054071, with its registered office at Gang Pamarhadi No. 100/88A, Kel. Jamika, Kec. Bojongloa Kaler, Bandung 40232, Jawa Barat, Indonesia. All correspondence, contracts and legal notices go to [email protected] or WhatsApp +62 821 2374 755.

2. Scope, Definitions and the Two Transaction Tracks

These Terms & Conditions ("Terms") apply to every account, quotation, order and shipment made through icedpacks.com or through correspondence with us. By creating an account, requesting a quotation or placing an order, you (the "Customer") confirm that you have read and accepted these Terms together with our Privacy Policy, Refund & Return Policy and Shipping Terms, which form part of these Terms.

These Terms distinguish two transaction tracks:

The applicable track determines the governing law and the dispute forum under clause 16. In case of doubt, the currency stated on the invoice determines the track.

3. Eligibility and Accounts

Our service is intended primarily for businesses and brands. For Domestic Transactions we also accept orders from individuals (consumers). The person placing an order must be at least 18 (eighteen) years old and, when acting for a business, authorised to bind it. You are responsible for keeping your account credentials confidential and for all activity under your account; any suspected misuse must be reported immediately to [email protected].

4. Quotations and Orders

Quotations are valid for 30 (thirty) days from issue unless stated otherwise; after that period prices may be revised. Every order requires our written confirmation (through the site, by email or by WhatsApp) and becomes binding only upon that confirmation. Production starts once the artwork has been approved in writing and payment has been received under the payment terms applicable to the order. Prices may change until the order is confirmed.

5. Prices, Currency and Payment

For Domestic Transactions prices are stated in Indonesian Rupiah (IDR) as displayed on the Indonesian-language pages, and the amount payable is stated in Rupiah on the billing details we send you. For International Transactions prices are stated in USD (or EUR where the quotation says so). Applicable taxes, if any, are shown on the invoice.

Standard payment terms, unless the quotation states otherwise: samples and accessories (including stickers, patches, packaging, mugs, caps and similar products) are paid 100% upfront; large apparel orders are paid 70% at order and 30% when production is complete, before shipping. Payments received are not refundable once production has started, except as set out in the Refund & Return Policy.

No payment is requested before you approve the shipping quote. If you decline it, the order is cancelled at no cost.

6. Artwork Approval and Customer Material

Production starts only after you have approved the design proof in writing. You are responsible for checking spelling, colours, dimensions and layout on the proof; an error approved on the proof is not a manufacturing defect. By submitting artwork, logos, designs or any other material for production you warrant that you own, or hold every right and licence needed for, their production and reproduction. You agree to indemnify and hold IcedPacks harmless against any claim, loss, cost or expense (including reasonable legal fees) arising from the production of the material you supply, including intellectual-property, trademark and unfair-competition claims. IcedPacks may decline any material at its sole discretion.

7. Custom-Made Goods, Defects and Returns

Every product is custom-made to your specification and artwork. Once the design has been approved and production has started, an order cannot be cancelled, returned or exchanged for change of mind. The sole exception is a manufacturing defect or a deviation from the agreed written specification, which must be reported in writing within 14 (fourteen) days of receipt with clear photographs. The full rules, including the claim process and refunds through the original payment channel, are set out in the Refund & Return Policy.

8. Shipping, Transfer of Risk and Customs

For Domestic Transactions the risk in the goods passes to the Customer on receipt. For International Transactions shipping is governed by the Incoterms stated on the quotation; where none is stated, EXW applies with delivery at our facility in Bandung, and risk passes when the goods are handed to the carrier. Import duties, import taxes and customs charges in the destination country are the Customer's responsibility unless the quotation expressly states DDP (Delivered Duty Paid). Shipping is charged at the carrier's cost and confirmed before payment. Carriers and transit estimates are set out in the Shipping Terms.

9. Production Time

Production time is counted in working days from written artwork approval and receipt of payment, and is indicative unless the quotation expressly states it as binding. Production time is separate from and additional to transit time.

10. Cancellation

An order may be cancelled free of charge as long as production has not started; any payment received is refunded in full through the original payment channel. Once production has started, cancellation is possible only under clause 7 and the Refund & Return Policy. IcedPacks may cancel an order that breaches clause 11 or that cannot be produced; in that case any payment received is refunded in full.

11. Lawful Use and Compliance

You are solely responsible for ensuring that the products you order — including their artwork, wording and intended use — comply with the laws and regulations of every jurisdiction in which they are marketed, distributed or used, including packaging, labelling and product-category rules. IcedPacks supplies packaging and printed goods only and accepts no liability for the use you make of them. We refuse material that breaches Indonesian law or the law of the destination country.

12. Intellectual Property

What stays yours. The artwork, logos, brand and other material you supply remain your property in full. IcedPacks receives only a limited, non-exclusive licence to produce, reproduce and store that material as far as needed to carry out your order, including proofs, samples and re-orders at your request. IcedPacks does not use your material for other customers.

What stays ours. Our templates, finishing techniques, production processes, dies/matres and tooling (including the moulds and embossing plates we make for your order), the product photographs we take, and all content of this site remain the property of IcedPacks. The Customer acquires no right to reproduce, transfer or sub-license them outside the scope of the agreed order; tooling made for your order is used for your orders only.

Portfolio. IcedPacks may show the work produced for your order (photographs of the finished products) in its portfolio — website, catalogues and social media — unless you object in writing. You may object at any time at [email protected]; the material concerned is taken down within a reasonable time. No confidential Customer information is ever published.

13. Liability

IcedPacks' liability for an order is limited to the value of that order. IcedPacks is not liable for indirect or consequential loss, including loss of profit, revenue or business opportunity. This limitation does not apply to loss caused by IcedPacks' wilful misconduct or gross negligence, and does not reduce the rights of Indonesian consumers that cannot be waived under Law No. 8 of 1999 on Consumer Protection.

14. Force Majeure

Neither party is liable for any failure or delay caused by events beyond its reasonable control, including natural disasters, war, civil unrest, regulatory change, disruption of raw-material supply or detention by customs authorities. The affected party notifies the other, and obligations are suspended for as long as the event lasts.

15. Personal Data

The personal data we process in connection with your account and orders is governed by our Privacy Policy, drawn up under Law No. 27 of 2022 on Personal Data Protection.

16. Governing Law and Dispute Resolution

The governing law and the dispute forum are determined by the transaction track defined in clause 2:

16.1 Domestic Transactions (Indonesian consumers and Rupiah transactions)

These Terms and every Domestic Transaction are governed by and construed under the laws of the Republic of Indonesia. Any dispute is first resolved amicably by deliberation (musyawarah) within 30 (thirty) days of written notice by either party. If no agreement is reached, a consumer may bring the dispute before the Consumer Dispute Settlement Body (Badan Penyelesaian Sengketa Konsumen, BPSK) of Bandung or file a claim with the Bandung District Court (Pengadilan Negeri Bandung), at the consumer's choice; for Domestic Transactions between businesses, the parties elect the Registry of the Bandung District Court as their legal domicile. Indonesian consumers hold every right granted by Law No. 8 of 1999 on Consumer Protection and Government Regulation No. 80 of 2019 on Trading Through Electronic Systems; nothing in these Terms reduces, limits or waives those rights.

16.2 International Transactions (export and non-Rupiah B2B)

These Terms and every International Transaction are governed by and construed in accordance with the laws of Singapore, without regard to its conflict-of-laws principles. Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the Arbitration Rules of SIAC for the time being in force, which rules are deemed incorporated by reference in this clause. The seat of the arbitration shall be Singapore; the tribunal shall consist of one arbitrator; the language of the arbitration shall be English.

16.3 Which Track Applies

A transaction is a Domestic Transaction when it is paid in Rupiah or made with a consumer domiciled in Indonesia; every other transaction is an International Transaction. The two tracks form one set of Terms, not two separate agreements; only the governing law and the dispute forum differ.

16.4 Language

These Terms are available in Indonesian and several other languages. For Domestic Transactions the Indonesian version is the governing and binding version, in accordance with Law No. 24 of 2009; for International Transactions the English version governs. Other language versions are convenience translations.

17. Changes, Version and Effective Date

We may update these Terms from time to time. The applicable version is the one published on this page, with the version number and effective date shown below. An order is governed by the version in force when the order is confirmed. Previous versions are archived and can be requested at [email protected].
